The company, known for its traditional and contemporary gold and diamond jewelry offerings, took key decisions relating to leadership restructuring, shareholder meetings, and capital raising initiatives.
As per the regulatory filing made to BSE and NSE, the Board approved changes in designation for three existing directors. Mr. Kiran Firodiya, Mrs. Radhika Gadgil, and Mr. Parag Gadgil will now serve as Whole-Time Directors, subject to shareholder approval in the upcoming AGM.
The Board also approved the appointment of Mr. Purushottam Sharad Bedekar as an Additional Director in the category of Non-Executive Independent Director for a five-year term, starting from July 03, 2025. Mr. Bedekar brings over 40 years of experience from the State Bank of India, where he held senior roles in governance, compliance, and credit management.
Additionally, the Board finalized the draft notice for the 12th Annual General Meeting, scheduled to be held on August 18, 2025, via video conferencing.
In a strategic move, the Board has also proposed raising up to ₹10,000 million through equity shares or other eligible securities. This capital infusion may be executed via qualified institutions placement (QIP), preferential allotment, or private placement, in one or more tranches, subject to regulatory and shareholder approvals.
