Warren Tea Limited, a West Bengal-based tea company in India, announced that its Board of Directors has formed a committee to evaluate the possibility of an amalgamation or restructuring with its associate firm, Maple Hotels & Resorts Limited, which operates five hospitality properties in Rajasthan under the “Vesta Hotels & Resorts” brand.


Warren Tea Limited, one of India’s prominent tea companies headquartered in Kolkata, West Bengal, has announced that its Board of Directors has initiated an evaluation process for a potential amalgamation or corporate restructuring with its associate company, Maple Hotels & Resorts Limited.

This decision was taken during a board meeting held on June 17, 2025, in accordance with Regulation 30 of SEBI’s Listing Obligations and Disclosure Requirements Regulations, 2015. The meeting began at 11:30 A.M. and concluded at 3:00 P.M.

Maple Hotels & Resorts Limited is an unlisted public company with a significant ownership stake held by Warren Tea. The company owns and operates five hotel properties in Rajasthan, branded as “Vesta Hotels & Resorts”.

To ensure a detailed and well-informed decision-making process, Warren Tea has constituted a three-member evaluation committee, comprising:

  1. Mr. Kunal R Shah, Non-Executive Independent Director
  2. Ms. Atrayee Ghosal, Non-Executive Independent Director
  3. Mr. Soma Chakraborty, Company Secretary and Whole-Time Director

The committee is tasked with assessing the strategic, financial, and operational implications of a possible merger, scheme of arrangement, or restructuring. It may appoint valuation professionals, merchant bankers, or other advisory agencies to assist in this process.

The company emphasized its commitment to protecting the interests of all stakeholders and making data-driven, strategic decisions to enhance shareholder value.

Maple Hotels & Resorts Limited, the potential merger partner, manages a chain of mid-premium hospitality properties across Rajasthan under the “Vesta” brand.
