On August 5, 2025, Hero MotoCorp Limited held its 42nd Annual General Meeting (AGM) via video conferencing, in accordance with SEBI regulations and the Companies Act, 2013. The company disclosed its voting results and consolidated scrutinizer’s report to both the National Stock Exchange (NSE) and the BSE.

The voting was conducted through remote e-voting and e-voting during the AGM. With a total of 1,68,95,495 votes cast in favor, the resolutions saw an approval rate of 99.8551%, while votes against stood at only 0.1449%. The total voting turnout reached 84.46% of outstanding shares, indicating a high level of shareholder engagement.

The promoter and promoter group showed 100% participation and approval through remote e-voting. The public institutions recorded a 90.27% voting turnout, with 99.75% votes in favor. Public non-institutions had a turnout of 2.20%, with 99.95% approval.

The final consolidated results confirm that none of the resolutions faced significant opposition, signaling continued trust in the company’s strategic direction and leadership. The scrutinizer’s report, prepared in accordance with Rule 20 of the Companies (Management and Administration) Rules, 2014, confirmed procedural compliance and integrity of the voting process.
