The company announced that the shareholders have approved the appointment of Ms. Nirmala S. Mehendale as a Non-Executive Independent Director for a five-year term starting from March 26, 2025. The voting results, revised due to minor errors, confirm the resolution passed with the requisite majority.

The company, engaged in the production of high-quality electronic components, confirmed that the shareholders have approved the appointment of Ms. Nirmala S. Mehendale as a Non-Executive Independent Director for a five-year term starting from March 26, 2025.

The decision was made following a postal ballot initiated on January 29, 2025, with voting concluding on March 12, 2025. The company had to revise its initial disclosure due to minor errors in the reported number of shares held and polled by the promoter group and public non-institutional investors.

According to the final voting results, the resolution was passed with a significant majority, with 100% of votes in favor from the promoter group and public non-institutions. The company has submitted the revised filing to the Bombay Stock Exchange (BSE) under Regulation 44(3) of SEBI’s Listing Obligations and Disclosure Requirements (LODR), 2015.

Gujarat Poly Electronics Limited has also made the voting results and the scrutinizer’s report available on its official website and the National Securities Depository Limited (NSDL) platform.

The appointment of Ms. Nirmala S. Mehendale is expected to strengthen the company’s board with her expertise in corporate governance and strategic planning.
