Haryana Capfin Limited, a financial services firm operating in Maharashtra, India, announced the results of its postal ballot process conducted for appointing a new Non-Executive Independent Director. The postal ballot process was carried out per Section 110 of the Companies Act, 2013, and the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

The company sought shareholder approval for the appointment of Vijay Kaushik as a Non-Executive Independent Director. Rajesh Gupta, a Practicing Company Secretary, was appointed as the Scrutinizer to oversee the voting process. Shareholders participated through remote e-voting, which was open from February 19, 2025, to March 20, 2025.

As per the voting results, the resolution was approved with a significant majority. The promoter and promoter group, holding 3,686,740 shares, voted 100% in favor. Public non-institutional investors, holding 1,521,563 shares, cast 90.98% of their votes in favor, with 9.02% against the resolution. Public institutional investors, holding 378 shares, did not participate in the voting process.

The total votes polled amounted to 3,958,645, representing 76% of the outstanding shares. With 98.92% of the votes in favor and only 1.08% against, the resolution was deemed passed.

Haryana Capfin Limited confirmed that the results have been submitted to BSE Limited and are in compliance with the SEBI Listing Regulations. The company has assured that all statutory obligations were met in conducting the postal ballot, ensuring transparency and adherence to regulatory requirements.

With this development, Vijay Kaushik officially joins Haryana Capfin Limited as a Non-Executive Independent Director, bringing his expertise to the company’s governance framework.
